1. Introduction

These Terms of Service ("Terms") govern access to and use of the Lapio.ai application and related services ("Service") operated by Babylon Asiantuntijapalvelut Oy (FI32591562) ("Lapio", "we", "us", or "our").

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility

The Service is intended for business users only.

By using the Service, you represent and warrant that:

• You are at least 18 years old.
• You are authorized to bind the business entity on whose behalf you use the Service.
• Your use complies with applicable laws and third-party platform policies (including Shopify and Google).

3. Description of the Service

Lapio provides predictive customer analytics and lifecycle segmentation tools for Shopify merchants.

The Service may:

• Connect to a merchant's Shopify store
• Analyze historical transaction and customer data
• Generate descriptive and predictive customer insights
• Create and maintain customer segments
• Sync audiences to connected platforms (e.g., Google, Meta, Klaviyo)

Lapio does not manage advertising budgets, campaign execution, or merchant business decisions.

4. Data Processing and Usage

Lapio processes merchant data solely to provide, maintain, and improve the Service.

• We do not sell merchant data.
• You retain ownership of your merchant data.
• You grant Lapio a limited, non-exclusive license to process your data solely for operating the Service.

Google User Data

If Google user data is accessed via OAuth authorization:

• It is used strictly to provide or improve user-facing features of the Service.
• It is not sold.
• It is not used for advertising purposes.
• It is not used to train generalized AI or machine learning models unrelated to the merchant's own service functionality.

Predictive models are built using merchant transaction and customer data obtained through Shopify.

Where required by applicable law, Lapio acts as a data processor on behalf of the merchant.

5. Merchant Responsibilities

You are solely responsible for:

• Ensuring lawful rights to the data you connect
• Compliance with GDPR and other applicable data protection laws
• Configuration and execution of marketing campaigns
• Reviewing and validating segmentation outputs before use

Lapio does not provide legal advice.

6. Fees and Billing

Certain features require a paid subscription.

Pricing, billing frequency, and renewal terms will be disclosed at the time of purchase.

Unless otherwise stated:

• Subscriptions renew automatically.
• You may cancel at any time before the next billing cycle.
• Fees are non-refundable except where required by law.

Failure to pay may result in suspension or termination.

7. Third-Party Services

The Service integrates with third-party platforms including but not limited to Shopify, Google, Meta, and Klaviyo.

Lapio is not responsible for:

• Third-party platform outages
• API or policy changes
• Account suspensions by third parties
• Third-party data handling practices

Your use of third-party services remains subject to their respective terms.

8. Intellectual Property

All rights, title, and interest in the Service, including software, algorithms, models, branding, and documentation, remain the exclusive property of Lapio.

No rights are granted except as expressly stated in these Terms.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Lapio disclaims all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of predictive outputs
• Uninterrupted or error-free operation

10. No Performance Guarantees

Lapio provides analytical insights and predictive outputs.

We do not guarantee:

• Revenue increases
• ROAS improvements
• Marketing performance results
• Predictive accuracy levels

All business decisions remain your responsibility.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lapio, its directors, officers, and employees from any claims, damages, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of applicable laws
• Your misuse of merchant or customer data

12. Limitation of Liability

To the maximum extent permitted by law:

• Lapio shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
• Lapio's total liability shall not exceed the amount paid by you to Lapio in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability where such limitation is prohibited by law.

13. Termination

You may discontinue use at any time.

Lapio may suspend or terminate access if:

• These Terms are violated
• Required by law
• Third-party integrations are revoked
• Payment obligations are not met

Upon termination, access may be revoked and data may be deleted in accordance with our Privacy Policy.

14. Force Majeure

Lapio shall not be liable for delays or failures resulting from causes beyond reasonable control, including but not limited to acts of God, governmental actions, internet outages, or third-party platform failures.

15. Assignment

You may not assign these Terms without prior written consent.

Lapio may assign these Terms in connection with a merger, acquisition, or sale of assets.

16. Survival

Sections relating to Intellectual Property, Disclaimer of Warranties, Indemnification, Limitation of Liability, Governing Law, and any other provisions which by nature should survive termination shall survive.

17. Modifications

We may update these Terms from time to time.

Updated versions will be posted with a revised effective date.

Continued use after changes constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of Finland.

Disputes shall be resolved in the courts of Finland, unless mandatory law requires otherwise.
